Corporate restatements dropped by almost a fifth (18%) in 2025, according to a new report, continuing a long-term trend of decreases.

Processing Content

At 391, last year had the second-lowest number of restatements in the past 20 years, according to Ideagen Audit Analytics’ new “Financial Restatements” report; only 2020 was lower, with 375.

The highest number of restatements in the two-decade span examined by the report came in 2021, when a Securities and Exchange Commission staff statement on warrant accounting led hundreds of special-purpose acquisition companies to issue 1,060 restatements in a year that only saw 402 non-SPAC-related restatements.

The number of companies issuing restatements also remained low in 2025, at just 5.1%.

Among the other highlights of the report:

  • The length of the restatement period;
  • The average number of accounting issues per restatement;
  • The top issues cited in restatements (debt/equity issues were the most common, being included in 27% of all restatements);
  • The companies with the most restatements;
  • The average restatement impact on income (which was 70% negative for 2025); and,
  • A breakdown by filer status and type (including by industry, and foreign issuers).
